Terms of service

The agreement between Talos Automation, LLC and the businesses that use Talos Connect, in plain English.

Effective October 13, 2026.

These Terms of Service (the "Terms") govern your use of Talos Connect, including our cloud phone service, business texting, scheduling, payments, reviews, forms, the AI receptionist and other AI features, Call Intelligence, the self-service store, our mobile and desktop apps, and related support (together, the "Services"). The Services are provided by Talos Automation, LLC, a Texas limited liability company based in Houston, Texas ("Talos", "we", "us"). By creating an account, placing an order, or using the Services, the business you represent ("Customer", "you") agrees to these Terms. If you are accepting for a business, you confirm you have authority to bind it.

A signed order form, quote or written agreement with us (an "Order") may add to these Terms. If an Order conflicts with these Terms, the Order controls for that subject. Our Privacy Policy and SMS Terms also apply, and healthcare customers sign a Business Associate Agreement (BAA) as described in Section 11.

1. Who may use the Services

The Services are for businesses and other organizations, not for personal, family or household use. You must be at least 18 and able to form a binding contract. You are responsible for everyone you give access to (your "Users"), for keeping passwords and two-step sign-in methods secure, and for all activity under your account. Tell us promptly at the contact details below if you suspect unauthorized access.

2. Orders, prices and billing

  • Prices are our published list prices (see our cost savings page) unless your Order says otherwise. Seats are priced per user per month; some add-ons are priced per number or per account, as shown when you order.
  • Recurring charges are billed monthly in advance. Usage-based charges (for example additional AI receptionist minutes, international calling billed per minute, and other metered services) are billed in arrears.
  • Prices do not include taxes, government-mandated fees and surcharges (such as universal service, E911 and regulatory recovery fees), which are added to your invoice where they apply.
  • Payment is due on the invoice date by card on file or another method we accept. If a payment is more than 15 days late, we may suspend non-emergency features after notice. Suspension does not stop charges from accruing.
  • We may change list prices on 30 days' notice. A price change does not apply to the remainder of a prepaid term.
  • Raise any billing dispute in writing within 60 days of the invoice date. Undisputed amounts remain due.
  • Except where the law or your Order requires otherwise, fees are not refundable, including for partial months.

3. Term, renewal and cancellation

Unless your Order sets a different term, the Services are month to month and renew automatically each month. You may cancel any Service on 30 days' written notice, effective at the end of the billing month in which the notice period ends. Hardware purchases and one-time services are not cancellable once shipped or performed. If your Order has a fixed term and you cancel early, the early termination terms in that Order apply.

4. Phone numbers and porting

  • Porting numbers in: you authorize us and our carrier partners to port the numbers you list, and you confirm you are the account holder or authorized by them. Keep your existing service active until the port completes; the timing depends on the losing carrier.
  • New numbers: numbers we assign are subject to availability and to carrier and regulatory rules. Numbers are not your property, but we will not stand in the way of you keeping them.
  • Porting numbers out: we will not block a valid port-out request. Charges owed up to the port date remain due.
  • Caller ID: you may display only numbers you are authorized to use. We sign calls in line with the STIR/SHAKEN framework where our carrier partners support it.

5. Emergency calling (911): important limitations

Talos Connect is an internet-based (VoIP) phone service. 911 calls placed through it work differently from a traditional landline. By using the Services you acknowledge the following and agree to tell every User:

  • Registered location. Each phone line, device or User must have a registered dispatchable location (street address plus suite, floor or room where applicable). 911 calls are routed to the emergency center for that registered location. You must give us an accurate location when service starts and update it before a device moves. If the location is wrong or out of date, emergency services may be sent to the wrong place or delayed.
  • Power and internet outages. 911 will not work if your internet connection, network equipment or power fails, unless you have backup power and a working connection.
  • Mobile and desktop apps. When a User places a 911 call from the mobile or desktop app, the call may be routed using the registered location rather than where the User actually is. Users who are away from their registered location should use a mobile carrier's network or a landline to call 911 whenever possible.
  • Other limits. 911 may be unavailable or delayed during network congestion, maintenance or service suspension, or if your account is not in good standing.
  • Direct dialing and notification. You must not configure your phone system to require a prefix (such as 9) before 911, and you should keep any on-site notification settings we provide turned on so your staff know when someone dials 911.
  • Labels. Place a notice of these limitations on or near each desk phone. We will provide labels on request.

You agree that Talos, its carrier partners and their suppliers are not liable for any claim arising from the unavailability, misrouting or failure of 911 service, to the fullest extent the law allows.

6. The AI receptionist and other AI features

  • The AI receptionist answers calls, books appointments, takes messages and orders, answers questions from the knowledge base you approve, and transfers calls to your staff. It identifies itself as a virtual assistant and says it is an AI if asked.
  • AI can make mistakes. You are responsible for the information you give it (hours, services, prices, policies), for reviewing its call summaries and bookings, and for correcting anything it gets wrong.
  • The AI receptionist is not an emergency service and does not give medical, legal or financial advice. You must configure how urgent calls are handled (for example, transfer to an on-call number) and keep those instructions current.
  • Outbound AI calls and AI text replies are sent on your behalf. You are responsible for having the consent the law requires before we contact anyone for you. Under the Telephone Consumer Protection Act, calls that use an AI-generated or prerecorded voice generally need the called party's prior express consent, and prior express written consent for marketing.
  • We may use de-identified, aggregated information about how the Services perform to improve them. We do not use your customers' call recordings or messages to train third-party AI models.

7. Business texting

  • US carriers require business texting from local numbers to be registered (10DLC) and toll-free numbers to be verified. We help you register; carriers decide whether to approve your brand and campaign, and may filter or block messages.
  • You must collect and keep records of the consent each recipient gave, honor STOP and other opt-out requests (the platform processes them automatically), include your business name in messages, and follow the CTIA Messaging Principles and carrier rules, including restrictions on sex, hate, alcohol, firearms and tobacco content and on lending and debt collection.
  • Our SMS Terms describe the program for recipients. Carriers are not liable for delayed or undelivered messages, and neither are we.

8. Call recording, transcription and Call Intelligence

Call recording is an optional feature. Some states require the consent of everyone on a call before it is recorded. If you turn on recording, transcription or Call Intelligence, you are responsible for complying with recording and notice laws for your location and your callers' locations, for example by playing a recording announcement. By default, call recording audio and voicemail audio are kept for 90 days and transcripts and messages for two years, then deleted; your administrator can choose different retention periods within the limits the Services allow.

9. Your data

  • You own the data you and your customers put into the Services ("Customer Data"), including contacts, messages, call records, recordings, appointments and payment records.
  • We use Customer Data only to provide, secure, support and improve the Services, as described in our Privacy Policy, your Order and, where applicable, your BAA. We do not sell Customer Data.
  • We use service providers to run the Services, such as cloud hosting, telecommunications carriers, payment processors, email delivery and AI model providers. They may process Customer Data only to provide services to us.
  • Integrations you turn on (for example a CRM, Slack, Zapier, Make or n8n) send Customer Data to that third party under its own terms. You choose what is sent and are responsible for having the right to send it.
  • After cancellation you have 30 days to export your data. After that we may delete it, except where the law requires us to keep it.
  • You are responsible for the lawfulness of the Customer Data you provide and for giving any notices and obtaining any consents your customers are owed.

10. Security

We use administrative, technical and physical safeguards designed to protect the Services and Customer Data, including encryption in transit, encryption at rest for stored data, role-based access, two-step sign-in and audit logs. No system is perfectly secure. You are responsible for securing your own devices, networks and passwords, and for charges caused by unauthorized use of your account, including toll fraud, until you notify us.

11. Healthcare customers and HIPAA

If you are a covered entity or business associate under HIPAA and will use the Services with protected health information (PHI), you must sign our Business Associate Agreement before any PHI enters the Services. Talos Connect is designed to support HIPAA-conscious workflows; compliance is a shared responsibility that depends on how you configure and use the Services. Do not send PHI to integrations or apps that have not signed a BAA with you.

12. Acceptable use

You will not, and will not let anyone else:

  • use the Services for anything illegal, fraudulent or deceptive, or to harass, threaten or abuse anyone;
  • make robocalls or send texts without the consent the law requires, call numbers on the National Do Not Call Registry in violation of the law, or use the Services for telemarketing that breaks federal or state rules;
  • spoof caller ID or misrepresent who is calling or texting (Truth in Caller ID Act);
  • engage in traffic pumping, call or text pumping, or other schemes designed to generate traffic or fees;
  • send malware, attempt to break into the Services or other systems, probe for vulnerabilities without our written permission, or interfere with other customers;
  • resell, white label or sublicense the Services except under a separate partner agreement with us;
  • copy, reverse engineer or build a competing product from the Services, except where the law allows; or
  • use the AI features to impersonate a real person without disclosure, or to generate unlawful content.

We may suspend or limit the Services, with notice when practical, if we reasonably believe you have broken this section, if a carrier or regulator requires it, or to protect the Services or others.

13. Hardware

Desk phones and other equipment you buy from us are sold for a one-time price, and title passes to you on delivery. Manufacturer warranties pass through to you. Report damaged or missing items within 10 days of delivery. Except for those, and except where the law requires otherwise, hardware sales are final.

14. Third-party services

The Services work with products we do not control, such as carriers, CRMs, calendars, payment processors and app stores. Their availability and terms are theirs. If a third party changes or withdraws a feature we rely on, we may change or discontinue the related part of the Services.

15. Changes to the Services and to these Terms

We improve the Services continually and may add, change or remove features. If we remove a material feature you pay for, we will tell you in advance and you may cancel the affected Service without an early termination charge. We may update these Terms. We will post the new version here with a new effective date and, for material changes, give at least 30 days' notice by email or in the app. Continuing to use the Services after the effective date means you accept the update.

16. Confidentiality

Each party will protect the other's non-public business, technical and pricing information with reasonable care, use it only for the purposes of these Terms, and not disclose it except to personnel and advisers who need it and are bound to keep it confidential, or where the law requires.

17. Intellectual property and feedback

We own the Services, including the software, designs and documentation. We grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business during your subscription. If you send us suggestions, we may use them without obligation to you.

18. Warranties and disclaimers

We will provide the Services with reasonable skill and care. Except as stated in these Terms or an Order, the Services are provided "as is" and "as available", and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Services, including calls, texts, 911 and AI features, will be uninterrupted or error-free.

19. Limitation of liability

To the fullest extent the law allows: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if advised of the possibility; and (b) each party's total liability arising out of these Terms or the Services in any 12-month period is limited to the fees you paid us for the Services in that period. These limits do not apply to your payment obligations, a party's indemnity obligations, or liability that cannot be limited by law.

20. Indemnity

You will defend and indemnify Talos against third-party claims arising from your Customer Data, your calls and messages (including consent and Do Not Call claims), your recording practices, your use of integrations, or your breach of Section 12. We will defend and indemnify you against third-party claims that the Services, as we provide them, infringe a US patent, copyright or trademark. The indemnified party must give prompt notice, reasonable cooperation and control of the defense.

21. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. The state and federal courts in Harris County, Texas have exclusive jurisdiction, and each party consents to them. Before filing a claim, each party will try in good faith to resolve the dispute through a call between decision-makers within 30 days of written notice.

22. General

  • Neither party is liable for delays caused by events beyond its reasonable control, including carrier outages, natural disasters and acts of government.
  • You may not assign these Terms without our consent, except to a successor of your whole business. We may assign them to an affiliate or a successor.
  • If any part of these Terms is unenforceable, the rest stays in effect. Failing to enforce a term is not a waiver.
  • These Terms, together with any Orders, the Privacy Policy, the SMS Terms and any BAA, are the entire agreement on this subject.
  • Notices to us go to the contact details below; notices to you go to the account owner's email. Sections that by their nature should survive termination (including fees owed, 911 limitations, data, confidentiality, disclaimers, limitation of liability, indemnity and governing law) survive.
